No real background on Penance, but is said to be Yevon's last resort to subduing Yuna, with the Dark Aeons having failed.
Where are you in terms of stats?
You will want to use Tidus, Rikku and Wakka. Get their stats to 255 on pretty much everything except Magic and Luck. You want to be at least 140 on Luck, but Magic isn't necessary.
Make three armours for them all, with these abilities:
Defense +20% - 4 Blessed Gems. Overkill Cactuar King for 6 of them(common drop).
Auto-Protect - 70 Light Curtains. Overkill Fafnir for 40 of them.
Auto-Potion - 4 Stamina Tablets. You get 60 from unlocking One Eye. If you need more for some reason you can Bribe Defenders in the CoSF.
Auto-Haste - 80 Chocobo Wings. This is the worst one. The fastest way to get a lot of them is to bribe Macheas in the Omega Ruins.
Use their fully powered Celestial weapons.
Have 50-60 X-Potions (for auto-potion) and 1 Three Stars (so you don't need to worry about MP).
Use your Three Stars right away.
Always use Quick Hits - never use anything else to attack him; not even the regular Attack command.
Always kill off his arms before attacking Penance himself. Never let the arms get an attack in, and make sure both are down before Penance's move.
Always immediately Dispel the character attacked by Penance's Immolation when he is in his second form.
You don't really need to use Overdrives at all if you're set up correctly. Just Quick Hits for the entire battle. Make sure you keep on top of things - kill the arms before attacking Penance, Dispel the Immolation'd character, and that's really about it from what I remember. Don't break the pattern and let him get his Judgment Day move off when both arms are alive, or it's Game Over.
Not a difficult fight at all once prepared. The main battle comes in the prep.
